By placing an order for products with Grand Furniture Showcase, (“GFS”) the customer (sometimes referred to herein as “You” or “you”), hereby acknowledges that he or she has read and agrees to be bound by the Terms of Use contained herein. (the “Web Site”). By using the Web Site, or accepting any benefits arising there from, you consent to our terms of use and the Terms of Use become a binding and enforceable agreement ("Agreement") between GFS and you. The Agreement governs and controls your use of the Web Site, including, but not limited to, all orders and purchases you may make. If you do not consent to all the terms of use and agree to become a party to the Agreement, without modification, you are not authorized to use the Web Site and you should leave immediately. GFS hereby reserves the right to make changes to the Agreement, in its sole discretion and without notice, and shall be effective when made and published on this Web Site. Please be advised that placing an order through the use of this Web Site hereby signifies acceptance of this Agreement in full.

Accuracy. We make no warranties or representations as to the accuracy of the information and accept no liability or responsibility for any errors or omissions in the content of the Web Site. Photographs and color charts displayed on our site are for general information only and can vary considerably from the actual color of the product. We do not guarantee color, tone, shades or finishes on any item(s). If a product is inadvertently listed at an incorrect price, we may refuse to accept your order or may cancel your order at any time. GFS will contact you before proceeding with your order to give you the option to pay the correct price or cancel. A refund is your sole remedy for orders canceled by us pursuant to this provision.

Order Acceptance and Payment. An electronic or telephonic "acceptance" of an order is provisional and it becomes final when we have verified price, availability, and quantity. Item(s) availability and price of products offered for sale at the Web Site are subject to change without notice. Payment of the full purchase price must be made upon the acceptance of this Agreement because of the one-of-a-kind nature of your purchase and/or because of the discount involved. GFS accepts MasterCard, Visa, Discover, American Express, Google Checkout, certified checks or money orders. At this time, we do not offer C.O.D. terms. Certified checks and money orders are accepted by prior arrangement only. We accept payment in US Dollars only. Once your order is accepted, you will receive a confirmation via email. Orders are subject to manufacturer approval. You will be notified as soon as possible if an item(s) or fabric is delayed or discontinued by the manufacturer. This will not affect the remaining order. Defective payments are subject to all charges, attorneys’ fees and court costs allowed by statute and/or pursuant to this Agreement.

Specials and Limited Time Offers. All sales, special offers, and limited time promotions are available for the specified time periods only. They cannot and will not be applied to orders placed and finalized before or after such time periods. Coupons and Special Offers can not be combined.

Shipping and Handling; Taxes. (a) Product prices do not include delivery charges; you will not be charged for shipping until your furniture arrives to your home. Google Checkout process displays "Shipping: $0.00," which is incorrect. At this time, it is not possible to customize the shipping field on the order receipt page for Google Checkout to indicate that shipping must be paid separately at time of delivery. All shipping weights and charges are estimated in good faith and GFS is not responsible for any difference in weights and charges if this may occur. When furniture is shipped, the actual weights will be charged in the delivery process. We use only Fully Insured Furniture In-Home Delivery Companies, because we strive to keep your shipping cost the lowest the market will bear, and to offer you the very best in home delivery and set up. White Glove shipping thoroughly inspects the items to assure that they are in deliverable condition before providing in home set up of your furniture. They will contact you prior to delivery, so as to establish an approximate time window for you to receive your delivery. If no one is home to receive your delivery, a repeat delivery charge will be incurred. Remote or inaccessible delivery areas may be subject to surcharge or you may be required to take delivery at a location acceptable to our contractors. When the delivery carrier calls for delivery appointment, you agree to make arrangements to accept your delivery of your furniture at the time window the delivery carrier request. (b) Please be advised that sales tax (currently 6.75%) will be charged on all item(s) delivered to addresses in North Carolina. If use tax is charged by your state for item(s) purchased in another state, it is your responsibility to report and pay any such taxes.

Delivery Tmes. While we estimate 20 to 60 business days for delivery time, delivery could be less than 20 business days and it could be more than 60 business days. The shipping company will contact you in advance of delivery to schedule a delivery time. These time periods are only estimates and we are not responsible for manufacturer delays or changes in shipping dates. Please note that we are unable to store your furniture for you; thus, any furniture not delivered within 30 days of arrival at the delivery company is subject to additional charges incurred from the delivery company.

In-Home Delivery. (a)The delivery service will bring the furniture inside the home and place it in the room of your choice. This service also includes light set-up (not to exceed 45 minutes). They will go up or down a maximum of one flight of stairs. If they must go up or down more than one flight, there will be an additional charge. Please measure all elevators, hallways and doors to be sure that this will not cause a problem. Allow adequate room for maneuvering bulky pieces. We will not be responsible for costs or returns arising from insufficient space or clearance for goods to be delivered. In the event the furniture does not fit into the house or room, the delivery service will not return the merchandise without a pre-authorization from GFS. In the event GFS pre-authorize a return under these circumstances, you will be charged a restocking fee of fifty percent (50%) of your order plus actual shipping charges. If an item(s) weighs over 300 pounds, the drivers will need assistance, by an adult, on delivery. (b) Mirror supports, center supports and bed slats, unless specified, are not included with your furniture. You may request these item(s), for a fee, from the delivery personnel. Delivery personnel will not hang wall mirrors and will not assemble accessory item(s), i.e. drawer knobs. Please Note: Liability issues and time required prevent assembling of bunk beds, cribs, lofts beds and Ready-To-Assemble (“RTA”) furniture. Delivery personnel will normally unpack curio cabinets or grandfather clocks, but will not be required to assemble glass shelving, clock chimes or pendulums. (c) Safety and environmental regulations prevent the carrier from transporting used packaging materials. As a result, delivery personnel will not be responsible for removing and transporting the cartons, crates or other packaging in which you’re ordered item(s) were delivered.

Damage.You should carefully inspect all ordered item(s) upon delivery. If at the time of delivery you notice any damage, defect or deficiency, you must describe this on the Bill of Lading retained by the delivery driver. Delivery personnel are authorized to attempt to rectify the problem at the time of delivery. If the delivery personnel are unable to rectify the problem at the time of delivery, the delivery personnel will return the item(s) for repair or replacement, at our sole discretion. Once repaired or replaced, the repaired or replaced item(s) will be reshipped to you at no further expense. Please be aware, however, that you will be charged for re-shipment on item(s) that are determined was of normal production quality and not the proper subject of a return. If you do not note damage at time of delivery, the item(s) will be deemed delivered in good condition and you will be responsible for the cost of any replacement parts plus shipping cost. If you do not note any defect at the time of delivery, your sole remedy is the warranty provided by the manufacturer. Customer agrees to accept delivery appointment for any backorders, repairs or replacement furniture to complete the order process.

Cancellations; Return Policy. (a) By placing an order with us, you are making an irrevocable offer to purchase the goods listed in the order. Please be sure your order is correct before you submit it. Due to the steep discounts we offer and the high volume of our business, we cannot honor requests for order changes, cancellations or refunds once you have placed your order. Please be advised that for any unauthorized cancellations, we charge a cancellation fee of fifty percent (50%) of the total cost of your order plus actual shipping charges and collection fees, if applicable, for any unauthorized cancellations. (b) When your furniture is ready for shipment, you will be contacted for purposes of scheduling a delivery appointment. If you refuse to schedule a delivery appointment or refuse to accept delivery of your order, such refusal will constitute an unauthorized cancellation of your order, and will subject you to the cancellation fee outlined in paragraph (a) above. We utilize Transworld Systems Inc. for collection of all unauthorized cancellation fees in order to protect our business and honest customers.

Private Pick Up. If you choose to pick up your merchandise at our warehouse in North Carolina, a 48-hour advance notice will be required to stage and inspect your order. We will notify you when your order is ready for pickup to allow you to arrange your pickup appointment. North Carolina sales tax will be applied to all orders that are picked up at our warehouse in North Carolina. You should carefully inspect the merchandise before we release it to you. Any damage or defects are your responsibility after GFS releases the merchandise for pick up. The following fees apply on all private pick up orders: (a) $25.00 pick up administration fee, (b) $25.00 notification and inspection fee, (c) $15 pickup fee per item, (d) Any inbound freight charges incurred in arranging to have the item(s) shipped to our warehouse in North Carolina. Mirror supports, center supports and bed slats, unless specified, are not included with your furniture. You may request these item(s), for a fee, at the time of your private pick up. Please note that this is a warehouse location.

World Wide Delivery. For overseas deliveries, we will make arrangements to ship the ordered item(s) to a United States port. It shall be your sole responsibility for making all necessary arrangements to have the ordered item(s) transported from that port location to its final destination. Please be advised that any such orders are shipped “as is” and we make no representations, promises or warranties as to the condition of such item(s). You are strongly encouraged to make arrangements to have the ordered item(s) inspected prior to overseas shipping. Failure to inspect the ordered item(s) for overseas shipping voids any repair warranty set forth herein. Because of certain restrictions, we cannot accept overseas or international orders through our Shopping Cart. Please contact us directly to inquire about placing such an order.

Warranties. (a) Manufacturer's Warranty. GFS does not provide any warranties, as expressly stated in section “Warranties” immediately following this provision. Your sole warranty, if any, is the warranty provided by the manufacturer, which is generally limited to defects in materials and workmanship.

DISCLAIMERS. GFS MAKES NO WARRANTIES OF ITS PRODUCTS BUT ASSIGNS TO THE PURCHASER MANUFACTURER'S WARRANTIES, IF ANY. TO THE EXTENT PERMISSIBLE BY LAW, GFS DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE. WE FURTHER DISCLAIM ALL OTHER DAMAGES, INCLUDING CONSEQUENTIAL, INDIRECT, AND EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE WEB SITE OR YOUR PURCHASE OF PRODUCTS FROM US. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

It is intended solely for your use as a shopping resource. Any other use, including the reproduction, modification, distribution, transmission, republication, copying, display or performance of the content on this Web Site is strictly prohibited without our written permission. We will aggressively enforce our intellectual property rights to the fullest extent of the law, including the seeking of criminal prosecution.

Applicable Law and Arbitration. This Agreement, and any disputes arising there from, shall be governed by the statutes and laws of the State of North Carolina and exclusive jurisdiction and venue of any action in connection with this Agreement shall only be proper in a state or federal court located in Wake County, North Carolina. All parties agree that such courts shall have personal jurisdiction over the parties. In the event GFS is forced to file a lawsuit in order to enforce the provisions of this Agreement, the opposing party or parties shall be responsible for all attorneys’ fees, court costs and related expenses. The award of attorneys’ fees shall be made without regard to the financial ability of the opposing party or parties to pay, but rather shall be based upon the costs and expenses determined by the court to be reasonable and incurred by GFS. Cost and expenses shall include, but are not limited to, attorneys’ fees and expenses, reasonable travel costs and deposition expenses. Use of this Web Site is unauthorized in any jurisdiction that does not give full effect to all provisions of this Agreement, including this paragraph without limitation.

Waiver and Incorporation. This Agreement, in conjunction with other information published on the Web Site, constitutes the entire agreement and may only be waived or changed by a writing signed by the party adversely affected. If any portion is deemed unenforceable under prevailing law, then that portion may be removed without affecting the remainder of our terms and conditions. Our employees and representatives are not authorized to waive or modify our terms and conditions by any means, express or implied.
